Terms of Service

The site and portal are run by Karnyx Labs LLC (“Karnyx Labs,” “we,” “us”), a software and web development studio in Logan, Utah.

The site describes the work we do. Each project is governed by a separate written agreement or statement of work between you and Karnyx Labs. If that agreement conflicts with these terms, the agreement controls.

• Portal access is by invitation only, for clients and the people they work with.
• Keep your sign-in method (your email inbox or Google account) secure. You're responsible for activity under your account, so don't share it.
• We may suspend or remove access at any time, for example when an engagement ends or if we suspect misuse.

When using the site or portal, don't:

• try to access accounts or information that aren't yours;
• probe, scan, or test the security of the site or portal without our written permission;
• interfere with, overload, or disrupt the site or portal; or
• use them for anything unlawful.

The site's content and design, our logos, and the Karnyx Labs name belong to Karnyx Labs and may not be copied without permission. Ownership of work we create for you is set by your client agreement. Information and materials you give us stay yours; you allow us to use them to provide our services.

The portal relies on services from other companies, such as Google for optional sign-in. Your use of those services is also governed by their own terms and privacy policies. Our Privacy Policy explains how we handle your information.

The site and portal are provided “as is” and “as available.” We work to keep them accurate and running, but we don't promise they will be error-free or uninterrupted. Any warranties for client work are set out in the client agreement.

To the fullest extent the law allows, Karnyx Labs isn't liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the site or portal. Our total liability for any claim about the site or portal is limited to $100. These limits don't apply where the law doesn't allow them, and they don't change the terms of any client agreement.

We may update these terms; the effective date above shows the latest version. Continuing to use the site or portal after a change means you accept the updated terms. We may change or stop offering the site or portal at any time.

These terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Any dispute about them will be resolved in the state courts located in Cache County, Utah, or the federal courts for the District of Utah.
